An Agreement made Saturday 19th February of 2011

Between

…. (NRIC No. …) of …. (hereinafter called “the Vendor”) of the one part

AND

Mus (NRIC No. 123456-78-9101) of …… (hereinafter called “the Purchaser”) of the other part.

WHEREAS

1. The Vendor is the registered and beneficial owner of a …manufactured in ..) bearing registration no. AHH 40 (hereinafter called “the said Vehicle”) and the details of which are more particularly described in the Schedule herein.

NOW IT IS HEREBY AGREED AS FOLLOWS: -

1. In consideration of the sum of RINGGIT MALAYSIA Three Thousand (RM 3000) only now paid by the Purchaser to the Vendor as part payment towards account of the purchase price, the Vendor hereby agrees to sell and the Purchaser hereby agrees to purchase the said Vehicle free from encumbrances but subject to the claims of … under the HP Agreement at the purchase price of RINGGIT MALAYSIA …. (RM …..) ONLY (hereinafter called “the Purchase Price”).

3. It is hereby agreed that the eventual payment and discharge by the Purchaser of the Vendor’s liability with … shall constitute the full payment of the Purchase Price.

5. Upon execution of this Agreement, the Vendor shall deliver possession of the said Vehicle to the Purchaser together with a duly executed and valid registration in-escrow memorandum of transfer (in form of JPJ MV3) for the eventual transfer of the said Vehicle into the name of the Purchaser or his nominee(s).

6. The Vendor hereby expressly and irrevocably authorize the Purchaser to settle, pay and discharge the Redemption Sum due to … and for this purpose, the Vendor shall at the request of the Purchaser execute such necessary authorization to facilitate the settlement of the Redemption Sum.

7. Each party hereto shall be entitled to the remedy at law of specific performance against the other without prejudice to any other rights or remedies that one party may be entitled to against the other for any breach of the provisions of this Agreement.

8. The Purchaser hereby covenants with the Vendor that during the period prior to the settlement of the Redemption Sum: -

(a) to keep the said Vehicle in good repair and condition (fair wear and tear only excepted);

(b) not to assign or part with possession of the said Vehicle but to keep the same at all times in his possession;

(c) to insure the said Vehicle and keep the same insured with a reputable insurance Company in the name of the Vendor and to pay to the Vendor for premiums payable thereunder; and

(d) to indemnify and keep the Vendor fully indemnified against all police summonses and charges issued in respect of the said Vehicle.

10. Time wherever stated in this Agreement shall be of the essence of the contract.

11. Any notice required to be served under this Agreement by either party hereto on the other shall be in writing and shall be sufficiently served if delivered or sent by registered post to the other party at the address of such other party hereinbefore given and any notice so sent by registered post shall be deemed to have been served at the time when in the ordinary course of post it would have been delivered.

12. This Agreement shall be binding upon the heirs, personal representatives and assigns of the Vendor and the Purchaser.
