  1. Contributing to Meteor
  2.
  3. Thank you for contributing code to the Meteor project! Like many open source projects, we
  4. need you to enter into a contributor license agreement with us before we can merge in your
  5. changes.
  6.
  7. In brief, by submitting your code to the Meteor project, you are granting us a right to use that
  8. code under the terms of the below Agreement, including the right for us to make available,
  9. grant rights to use and provide your code to others. You are also certifying that you wrote the
  10. code, and that you are allowed to license it to us. You are not giving up your ownership in your
  11. work.
  12.
  13. Contributor license agreements are important because they define the chain of ownership of a
  14. piece of software. Some companies and organizations won't allow the use of free software
  15. without clear agreements around code ownership. That's why many open source projects
  16. collect similar agreements from contributors.
  17.
  18. PLEASE READ THIS DOCUMENT CAREFULLY BEFORE SIGNING AND KEEP A COPY FOR YOUR
  19. RECORDS. If you
  20. have questions about the Agreement, or if you cannot submit an electronic copy, please
  21. contact us at licensing@meteor.com.

  24. The Meteor Contributor Agreement (this "Agreement")
  25. Last Updated: September 17, 2019
  26.
  27. By submitting a signed copy of this Agreement using one of the methods described below, You
  28. accept and agree that the following terms and conditions will apply to Your present and future
  29. Contributions submitted to Meteor Software Ltd. (“Meteor”). Except as expressly set forth in
  30. this Agreement, You reserve all right, title, and interest in and to Your Contributions.
  31.
  32. 1. Definitions.
  33. "You" or "Your" means the copyright owner or legal entity authorized by the copyright
  34. owner that is making this Agreement with Meteor. For legal entities, the entity making a
  35. Contribution and all other entities that control, are controlled by, or are under common
  36. control with that entity are considered to be a single Contributor. For the purposes of
  37. this definition, "control" means (i) the power, direct or indirect, to cause the direction or
  38. management of such entity, whether by contract or otherwise, or (ii) ownership of fifty
  39. percent (50%) or more of the outstanding shares, or (iii) beneficial ownership of such
  40. entity.
  41. "Contribution" means any original work of authorship, including any modifications or
  42. additions to an existing work, that is submitted by You to Meteor for inclusion in, or
  43. documentation of, any of the products and services owned or managed by Meteor (the
  44. "Work"). For the purposes of this definition, "submitted" means any form of electronic,
  45. verbal, or written communication sent to Meteor or its representatives, including but
  46. not limited to communication on electronic mailing lists, source code control systems,
  47. and issue tracking systems that are managed by, or on behalf of, Meteor for the purpose
  48. of discussing and improving the Work, but excluding communication that is
  49. conspicuously marked or otherwise designated in writing by You as "Not a
  50. Contribution."
  51.
  52. 2. Grant of License.
  53. Subject to the terms and conditions of this Agreement, You hereby grant to Meteor and
  54. to recipients of products and services distributed by Meteor a perpetual, worldwide,
  55. non-exclusive, transferable, sublicensable, no-charge, royalty-free, irrevocable copyright
  56. license to use, reproduce, prepare derivative works of, publicly display, publicly perform,
  57. sublicense, and distribute Your Contributions and such derivative works.
  58.
  59. 3. Grant of Patent License.
  60. Subject to the terms and conditions of this Agreement, You hereby grant to Meteor and
  61. to recipients of products and services distributed by Meteor a perpetual, worldwide,
  62. non-exclusive, transferable, sublicensable, no-charge, royalty-free, irrevocable (except
  63. as stated in this section) patent license to use, reproduce, prepare derivative works of,
  64. publicly display, publicly perform, sublicense, and distribute Your Contributions and such
  65. derivative works as necessary to make, have made, use, offer to sell, sell, import, and
  66. otherwise transfer the Work, and where such license applies only to those patent claims
  67. licensable by You that are necessarily infringed by Your Contribution(s) alone or by
  68. combination of Your Contribution(s) with the Work to which such Contribution(s) was
  69. submitted. If any entity institutes patent litigation against You or any other entity
  70. (including a cross-claim or counterclaim in a lawsuit) alleging that your Contribution, or
  71. the Work to which you have contributed, constitutes direct or contributory patent
  72. infringement, then any patent licenses granted to that entity under this Agreement for
  73. that Contribution or Work shall terminate as of the date such litigation is filed.
  74.
  75. 4. You represent and warrant that you are legally entitled to grant the above licenses. If
  76. your employer(s) has rights to intellectual property that you create that includes your
  77. Contributions, you represent and warrant that you have received permission to make
  78. Contributions on behalf of that employer, and that your employer has waived such
  79. rights for your Contributions to Meteor.
  80.
  81. 5. You represent and warrant that: (i) each of Your Contributions is Your original creation
  82. (see section 7 for submissions on behalf of others); and (ii) Your Contribution
  83. submissions include complete details of any third-party license(s) or any other
  84. restriction(s) (including, but not limited to, related patents and trademarks, whether
  85. such patents or trademarks are Yours, Your employer’s or any other party’s) of which
  86. you are personally aware and which are associated with any part of Your Contributions.
  87.
  88. 6. You are not expected to provide support for Your Contributions, except to the extent
  89. You desire to provide support. You may provide support for free, for a fee, or not at all.
  90. Unless required by applicable law or agreed in writing, you provide your contributions
  91. on an "as is" basis, without warranties or conditions of any kind, either express or
  92. implied, including, without limitation, any warranties or conditions of title, non-
  93. infringement, merchantability, or fitness for a particular purpose.
  94.
  95. 7. Should You wish to submit work that is not Your original creation, You may submit it to
  96. Meteor separately from any Contribution, identifying the complete details of its source
  97. and of any license or other restriction (including, but not limited to, related patents,
  98. trademarks, and license agreements) of which you are personally aware, and
  99. conspicuously marking the work as "Submitted on behalf of a third-party: [named
  100. here]".
  101.
  102. 8. You agree to notify Meteor of any facts or circumstances of which you become aware
  103. that would make these representations inaccurate in any respect.
  104.
  105. 9. If there is any dispute between You and Meteor about or involving this Agreement, You
  106. hereby agree that the dispute will be governed by and construed in accordance with the
  107. laws of the Province of British Columbia and the federal laws of Canada applicable
  108. therein without regard to its conflict of law provisions. You hereby attorn to the
  109. exclusive jurisdiction of the courts of the Province of British Columbia.
  110.
  111. 10. This Agreement is the entire agreement between You and Meteor related to the
  112. subject matter in this Agreement and replaces and supersedes all other oral and written
  113. communications between the You and Meteor or otherwise relating to the subject
  114. matter of this Agreement.
  115.
