- The Tezos comedy by Foundation, Ocamlpro and Arthur Breitman: My point of view

- A. / Overall analysis:

- 1. You should be blind if you consider this just as an issue about grants and open-sourcing. For me, it's quite bigger than that, and what we are seeing is the end of a long dispute, not its begenning. I'll try to expose my analysis
- 2. "discussions are cordial" ? In the art of negotiations and communication, it means that discussions are very difficult and not cordial at all.
- 3. See by your self how they behave with each others !!! There are tensions between them for sure. Messages from Ocamlpro, Tezos Foundation and Arthur Breitman on on twitter and/or reddit and/or riot are not that cordial. Arthur Breitman being very aggressive although the issue to only involve Ocamlpro and Tezos Foundation ...
- 4. In their public communications, Arthur (or OCamlpro) rarely make positive comments about OCamlpro (or Arthur). The style is usually neutral and the content is short. They probably don't like each other.
- 5. Look at this: http://www.ocamlpro.com/2019/01/29/tezos-and-ocamlpro. This is the only recent common Arthur-Ocamlpro communication I found: a 4-year very successful collaboration summarized in a 6-lines post. Moreover, the overall impression is that they are somehow forced to make this communication, and that their relationship is not that good.
- 6. I bet there is a contentious between the two parties. It's maybe a financial contentious: money is often a source of problems and disputes. Or maybe,
- Ocamlpro is not happy to see another company continue Tezos development now that it's a success. Or maybe they think they are not acknowledged as hey should be,
- and this is why they are making a lot communication around what they did for Tezos.
- 7. If I'm right in my above analysis, I think Arthur would naturally act against OCamlpro behind the scene, as his ego and leadership may be in danger, because Ocamlpro is still in the Tezos ecosystem and could be perceived as a competitor. Acting against means do everything so that Ocamlpro grants and funding requests are refused, try to show to community that OCamlpro is evil ...
- 8. So, to summarize: for me, the issue is quite old and is probably not just related to grants, licensing and open-sourcing. I'd bet it's quite more complicated than that. But they cannot communicate publically about it

- B. / Everyone is faulty, everyone can do better for Tezos:

- 9. Tezos Foundation failed the transparency challenge. Some details about submitted grants should be provided, the amount of accepted ones should be communicated, the list of refused ones should be published, the amounts of contracts that are not "grants" should be made available ... For me, following their own rules, Tezos Foundation is not "open source" and should not get the 222,000M fundraising grant.
- 10. Ocamlpro should start over on a healthy basis and forget a little bit its past with Tezos. The community should not be held hostage because of personal disagreements ! A starting point would be to open-source either TzScan ou Liquidity and to apply for a grant based on the new Foundation's requirements. If the grant is accepted and the amount (which should be made public) is as they expect, they can do the same thing for the other tool.
- 11. Arthur Breitman is the person who reflects all the strengths of Tezos. He should stop taking position and making negative communication in public. This is harmful for the ecosystem and for his baby. He is a so important person/entity for Tezos that he shouldn't lower himself this way. He is the designer, architect and scientific leader of Tezos, but surely not a community manager. Ideally, he shouldn't interfere with the Tezos Foundation's everyday work.

- C. / What are available options:

- 12. Ocamlpro stops its Tezos-related projects and leaves the ecosystem: very bad to see one of the big contributors leaving, but if we don't have any other choice ...
- 13. Ocamlpro open sources everything and applies for grants: it seems they are not ready for this without being payed for their self-funded code in TzScan and Liquidity. They rather want grants in which open-sourcing is included as a condition
- 14. Tezos Foundation accepts to discuss about grants without requiring open-sourcing prior to discussions. They will not do it for credibility reasons, and because ecosystem is not just Ocamlpro and if their goal is to get Ocamlpro out
- 15. Better than the item above: accord "conditional grants". Tezos Foundation discusses and accords grants eventually with a condition: "everything should be made open-source prior to the beginning of the grant, and everything developed during the grant should be made open-source (whoever payed it)."
- 16. Appoint a mediator to allow "really cordial discussions" between them, to evaluate the amount of what has been payed by Foundation grant, the amount of what has been payed by Ocamlpro personal funding, discuss solutions to go ahead ...
- 17. The community develops a smart contract and votes to enforce a Tezos off-chain governance in case of disputes. This item can be seen as a transparent way of choosing an item from [12 - 16]
- 17. The community develops a smart contract and organizes a fundraising to get TzScan and Liquidity fully open-source. Don't know the amount of required XTZ though

- D. / My advises for Tezos Foundation:

- 18. Beyond open-sourcing, Tezos foundation should also ask grantees to develop in open repositories (github, gitlab, ...). This is really really really important for Tezos and its ecosystem.
- 19. Adopt a catchword and apply it to foundation before applying it to others: "Transparentzy"
- 20. Tezos project should be "community first": it's easier to find alternative board members than to replace the whole community. It' even more easy to find alternative board members than finding talented Ocaml programmers nowadays.
- 21. You are doing far better than Gevers', but it's a pitty to see that we are behind Cardano, Cosmos and Eos... Tezos is far better than these. Also remember: a scattered community does not build an ecosystem and will accomplish nothing. Let's go ahead ! More communucation, more listing on exchanges, more Dapps, more adoption, ...
