  8. I was able to get into the bank accounts after the meeting, so here's an update for everyone:

  12. 2. I have ordered checks, which cost us $37.50 ($21.10 for checks, $14.28 shipping). This was the cheapest option available. With the permission of the Republican Club of Frederick County, I will be using their PO Box in Frederick to receive all MDYR related financial documents. This is only temporary until we find another solution.

  14. 3. I have sent the check for the remaining balance to Clovelly Winery for our fundraiser, in the amount of $500.

  16. 4. I have been unable to find the place online to order a debit card so that we can make online purchases, for things like the YRNF convention tickets. I will figure out a solution at the bank tomorrow. According to Section 2(E)(2), the Treasurer has the authority to "establish additional accounts as needed", as this solution may involve creating a new account for the MDYRs.

Even though we discussed the cost of the event, we didn't take a vote to expend the funds. Third, we may already have checks for the bank account via Kyle. And finally, in the past, in lieu of a debit card, individuals have personally purchased and then sought reimbursement.

Threatening to expel me because I may not be able to consent to an emergency meeting the next or same day is abhorrent and subjects you to the same threat you opined on me. I've attended to all the duties as Secretary as outlined in the constitution (And I only received the State membership list minutes before the call). Its ok if you don't like me or my opinions because they run contrary to yours and Kory's, but our constitution and bylaws provide protection for that sort of thing. If anything, you are espousing the most anti-Republican rhetoric possible.. what happened to the Big Tent way of thinking?

If there are no other changes, then we can finalize them (and vote to approve at the next meeting July 11). However, I would strongly recommend, since there are constitutional questions of legality of the vote, that we officially have John Doyle, YRNF General Counsel, weigh in on the question. If the GC's job to provide this sort of clarification when members in a state interpret their governing documents differently.

As I stated in the other emails, under Article IX Section 3 in the bylaws, "The MYR Executive Board shall determine any dispute or question concerning the interpretation or meaning of this Constitution." This does not concern John Doyle as our constitution clearly states our board handle these matters. You say you like to follow ALL rules but clearly tried to add a messaged vote as valid. Please don't pick and choose what you would like to follow in our constitution.

  115. I’ve tried to follow this exchange below, but I must confess, I’m not sure I fully understand what is going on. I want to address what looks like questions about expenditures. The expenditures issue is really quite simple, and lets not complicate it any more than we have to.
  116.  
  117. 1. The Executive Board controls the regular operations of the MDYRs and has authority to make any expenditures.
  118.  
  119. 2. The Chair should have authority to authorize expenditures between Executive Board meetings up to a certain amount (usually ranges from $100 - $300 in these types of organizations). Not sure this discretionary authority currently exists in MDYRs, but Id strongly advocate it. Ideally, it might be put in the Bylaws, but it doesn’t have to be necessarily. Let’s just introduce and pass a policy at the next Exec Board meeting allowing the Chair to authorize expenditures up to a certain amount.

  121. 3. The Treasurer never has authority to unilaterally authorize any expenditures; however, the Treasurer is charged with actually disbursing any authorized expenditures (although the Chair has signature authority too).

  123. 4. Looks like some minor expenditures may have already been made. I don’t know whether they were explicitly authorized or not at the previous Exec Board meeting, but they appear to be minuscule and in furtherance of the Organization. Therefore, if everyone agrees they were appropriate, let’s just approve get a motion to retroactively approve them at the next Executive Board meeting. Ideally, all expenditures should be authorized before they were made. This protects everyone involved and the Organization. Whenever money is disbursed without prior authorization, the person disbursing it runs the risk that the expenditure will not be approved and they will have to personally reimburse the organization for the amount disbursed. Nonetheless, the Executive Board does have the power to retroactively approve expenditures, and in this instance, I would clearly have no problem doing so. If everyone agrees, the Executive Board could also approve any expenditures without a meeting by unanimous written consent. This is called an informal action of the Board.

  125. 5. It is not always practical to have every single expenditure approved by the Executive Board in advance. This is especially true when the organization takes on special projects that require multiple (and sometimes unforeseeable) expenditures in a short period of time. Two possible examples of these types of projects are organizing an event or building a new website. Perhaps the expenditures required also exceed the amount for which the chair has discretionary approval. In this instance, the best course of action is for those in charge of the special project to estimate a budget and seek authorization from the Executive Board to spend up to a certain amount. Then the Treasurer can make disbursements in connection with the approved project without having to go back to the Board each time or whatever. Looks like the upcoming wine tasting fundraiser is an example of a special project that may require these types of expenditures.

  127. 6. If we have not done so already, those organizing the wine tasting fundraiser should estimate the total maximum amount that may need to be spent in connection with putting on the event. Then simply present a motion to the Executive Board authorizing the expenditure of MYR funds up to that amount for the wine tasting fundraiser. For example, suppose the maximum budget for the winetasting event is $1,000. The Executive Board should be presented with a Motion authorizing the expenditure of up to $1,000 on the winetasting event. Once approved, the organizers of the event would have discretion in spending the money, up to $1,000.

  129. 7. I know there is always a transition period and learning curve whenever a new team comes in that makes things a little more complicated at first. I think this team is off to a great start, and these things will become far more second nature after a little more time. Let’s just not overcomplicate simple things like how expenditures get made. The process is pretty much the same in every one of these organizations.

  131. 8. And one last thing on expenditures. I have two suggestions for approvals that id like to see the Board make at the next meeting: (1) approve whatever expenditure is necessary to renew the MDYRs domain names (after they are transferred to an account owned by MDYRs) for 10 years; (2) approve whatever recurring expenditure is necessary and have it set up to be charged to an organizational credit or debit card held by the Treasurer or Chair for hosting the website. Our account for hosting the website and renewing the domains should always have a valid organizational credit or debit card number on file. Just to put it in perspective, it is my understanding that many years ago (before I got involved in MYRs in 2009), MDYRs had the domain names myr.com and myr.org. The account was not set up properly, and as a result, the domains were allowed to expire and we lost them. Imagine what they would be worth today.

  183. b) The MYR Executive Board shall have all the powers of the MYR ***(unless otherwise specified in this constitution or duly ratified By-laws) in all matters except that it shall not have the power to change or vary any action or decision of a MYR Convention.
  184. 2. Bylaws, Article III SECTION 3. Powers: The Executive Board powers shall include, but not be limited to:
  185. a) Being responsible for the management of all activities of the MYR, subject to the other requirements of these By-laws and the MYR Constitution.
  186. b) Having all the powers necessary to carry out these duties.
  187. c) Having the power to authorize an independent audit at any time
  188. 3. Bylaws, Article II Section 2. Elected Officers
  189. a) Chairman: The Chairman shall be the Chief Executive Officer of the MYR. The Chairman shall be deemed to be an ex-officio member of all committees including the convention committees. The powers and duties of the Chairman shall include, but not be limited to:
  190. 1) Representing the MYR at the Executive Committee meetings of the Maryland Republican Party.
  191. 2) Representing the MYR at the State Chair and National Committee meetings of the YRNF.
  192. 3) Appointing committees and members of those committees.
  193. 4) Creating or terminating official non-elected offices and appoint persons to such positions.
  194. 5) Setting the initial agenda for meetings and to preside at all meetings of the Executive Committee and the State Convention.
  195. 6) Bestowing honors, subject to the powers and duties of the Awards Committee.
  196. 7) Issuing the Call to the State Convention.
  197. 8) Calling, giving notice of, setting the agenda for, and presiding at not fewer than fifty percent (50%) of the Executive Committee meetings each year.

  200. You will note that the management of the organization is vested in the MYR Executive Board, not the Chairman. Any powers not specifically enumerated are reserved to the Executive Board. It is the Executive Board that is responsible for the management of all activities. The Bylaws do not explicitly authorize the Chairman to approve expenditures of money. However, the MYR Executive Board is vested with the power to do so. It may also delegate this power to the Chairman. Therefore, the MYR Executive Board can authorize the Chairman to approve expenditures up to an amount set by the MYR Executive Board. I was suggesting that the MYR Executive Board do so, because without such explicit authorization, the Chairman is not authorized to spend any money.

  252. You should not compare the actions of RM to the actions of MDYRs. Just because RM publishes an article attacking the entire MDYR Board doesn't mean that the MDYRs should publish something in return. There are many things that Red Maryland can do because it is an opinion blog that MDYRS should not do because we are a respected statewide political institution.

I strongly urge the MDYR Executive Board to take a restrained, non-personal, public relations approach and think twice before we use the MDYR name (FB, Twitter, Website, or Press Releases) to attack ANYONE, including Brian Griffiths/Red Maryland. That is not the purpose of the MDYRS. I strongly feel that all communications coming from the MDYRs should stay focused on our postive primary objective: growing the 18-40 year old ranks of the Republican Party and electing Republicans across Maryland. If something doesn't further those objectives, I do not think we should waste time and energy on communicating it to the public, under the MDYR name.

  257. As Nicole pointed out, nobody reads or cares about Red Maryland. They have over 1500 likes on Facebook yet at the time I wrote this email, no one has commented or even liked the article they posted last night about the "Boone Administration." If we respond from our MDYR FB page, we would only INCREASE the readers to RM's opinion blog and also increase the attention that is being paid to his baseless attacks. At the moment, no one cares, so why would we want to elevate it by posting about it on our social media pages?

  259. Additionally, Brian is a bully. What do all bullies want? ATTENTION! Brian is purposefully poking the bear because he wants to see us, MDYRS, react. He finds joy in knowing that Kory and others are impacted by what he does. I think we should avoid giving the lil guy what he wants and instead let MDYRs ignore his baseless attacks and keep doing the great work we have been doing. While Brian is writing on RM that we are "failing" as the new leaders of MDYRs, lets continue our efforts to charter more county chapters, increase our paid members, and fundraise a lot of money. Then Brian would make himself look even more stupid by continuing to attack us as failing when we are doing a much better job than he did running this organization.

  261. Brian is like the Donald Trump of Maryland GOP politics. There are people who absolutely hate him but there is a sizable number of people who think he is great, particularly politicians. I believe I have worked in Maryland Republican politics longer (or one of the longest) than anyone on this email, so please trust me when I tell you that many elected officials and figures in the MDGOP actually have a positive perception of Brian. I do not think we (MDYRS) should risk alienating anyone who may like or have allegiances to Brian.

  264. I am not say do nothing. I am simply recommending to the MDYR Executive Board that we choose not to tarnish the MDYR name by using it to sling mud at Brian. That cheapens the reputation of the Young Republicans and it will turnoff some people who are tired of the childish bullshit. I would suggest two things that we do to deal with the Brian problem.
  265. Expel Brian from MDYRS - If not before than we definitely have grounds to expel Brian now. It is universally accepted that Board members of any organization, corporation, or non-profit have fiduciary responsibilities to their organization. Attached is an article from the American Bar Association, which explains Fiduciary responsibilities. An element of fiduciary responsibility is "loyalty," which includes confidentiality. Brian is clearly breaching his fiduciary responsibility as a Board member of MDYRS by going and publishing the private details of our recent Board Meeting, specifically the censure of Jason and the spending of $1500. Releasing that information and writing that article was in his personal best interest and not in the best interest of the MDYR organization.
  266. Respond individually or through other blogs - Nothing is stopping anyone from individually responding to Brian, posting on his Red Maryland comment section, or calling into his Radio show. Personally, I believe it all to be a waste of time because no one cares about Red Maryland. We could also have other blogs (Boisvert) post a response to Red Maryland and then MDYRs can simply retweet or post that article on our FB and Twitter. That way the MDYRS get to stay above the petty bullshit but still get to address Brian's false claims.
  267. Bottom Line: I do not think the MDYRs should get into the habit of responding to every wacko that posts something negative about us online. The MDGOP and the RNC do not go about responding to every negative and false statement directed towards them, and neither should we....

  354. The vote to ban me from board meetings was null and void because the MDYRs Bylaws (which are attached hereto) explicitly provide that any MDYR member may attend board meetings. Bylaws, Art. III, §4. As may be seen in the Bylaws themselves, THERE ARE NO EXCEPTIONS. The Executive Board does not have the authority to ban me from Board Meetings because the purported ban would conflict with the provision regarding the ability of any MDYR member to attend board meetings.

I should also postulate that the Constitution and Bylaws have no provision authorizing censure of members, but they are not silent on the issue of disciplinary action that may be taken against a member. Indeed, they spell out exactly what disciplinary action may be taken against a member (i.e., expulsion). The disciplinary action spelled out is the only disciplinary action that may be taken against a member. Therefore, ensure is not appropriate under our Constitution and Bylaws in any event. While it is available under Robert’s Rules, it is only proper to look to Robert’s Rules if the Bylaws are silent on a subject. Our Constitution and Bylaws are not silent on the subject of discipline of members, and therefore, censure is not available as a disciplinary action that the Executive Board may take.

  358. Finally, I will mention that censure, where it is available, by definition, does not include some other consequence, such as banning or suspending someone from meetings of an organization. Censure is merely a directive or statement disapproving of some action someone has taken. In this case, you attempt to suspend me from the organization as a penalty of “censure”. These actions are incongruous with each other. Your attempted improper suspension attempt is by definition not a censure.

Unless and until the MDYRs Executive Board acknowledges and apologizes for this purported improper attempt to ban me from me meetings, I reserve any and all rights to pursue any and all available legal and/or equitable remedies, including, but not limited to, the filing of a grievance with the Young Republican National Federation and/or the commencement of a civil action in Circuit Court, for declaratory relief and monetary damages, against the MDYRs Executive Board, the MDYRs organization, and/or any of the MDYR Executive Board member(s) who supported this improper course of action.

  389. Over the last month I have been extremely disappointed in ALL of you. Your continual facebook rants and email fights have been childish and not productive. I need you all to start acting like the Young Adults you are and end this crap now.

  401. -Brian, you are per the bylaws a member of the committee due to being past president. You have the right to be involved, however, if you can't attend the meetings please don't send someone as a proxy to meetings.

  434. First off this all sounds pretty reasonable, however there are a couple things Diana and I need to clarify. Our agreement with Jason and Rachael allows them to stay members of the YR's until the 2015 Convention is over. Furthermore, we cannot guarantee what elected officials can and cannot do. Only what the Party does. Also, there may need to be something about sharing information with outside sources included in your statement about “negative public discussion”.

Those of you who have read it will see that an anonymous person released the August 23rd meeting minutes to Ryan Miner which is not only inappropriate but also a breach of policy. The meeting minutes are only for YR members which Ryan Miner is not.

  483. Before 12:40PM today the only recipients of the minutes were the members of the Executive Board. At 12:40PM today a YR member who lives in Brunswick MD requested the meeting minutes from Kelsey. Kory replied to her that she should ask the chairman of her local club for the minutes or otherwise Eric could send them to her. Eric sent the meeting minutes at 1:08PM today Monday the 30th to her and Ryan Miner received his anonymous email at 1:22PM.

I am asking each one of you if you were the one who sent the minutes to Ryan, I don't believe you are but if none of us sent the minutes it had to have been the member who requested them today.
