ASIA to Japan Co., Ltd. ---Terms of Service on Study Go Work JAPAN Services

These are the Terms of Service (hereinafter referred to as “TOS”) for use of Study Go Work JAPAN Services of ASIA to JAPAN Co., Ltd. (hereinafter referred to as the “Company).
Please read this without fail and consent hereto before using the Services.

Article 1. Definitions
1.	The term “Member” means an individual registered as a user of the Services under Article 2.
2.	The term “Services” means career consulting services provided by the Company to the Members as Study Go Work JAPAN Services and other related services incidental thereto, such as distribution of newsletters, guides to events, etc.
3.	The term “Recruiting Companies” means companies that conduct recruiting activities by participating in events or websites in relation to the Services.
4.	The term “Personal Information” means information relevant to Member individual that can identify specific individuals by name, address, telephone number, email address, name of school, or other description contained in such information (including such information which cannot identify an individual by itself, but which will allow easy reference to other information and thereby enable the identification of the specific individual).

Article 2. Registration
1.	A person who desires to use the Services may register for use of the Services subject to consent to observance of the TOS, and provision of certain information specified by the Company (the “registered matters”) by the methods specified by the Company.
2.	The Members shall be deemed to have consented to distribution (including email distribution) by the Company to the Members of guidance on information related to job-seeking, various surveys, guidance on job-seeking for individual companies entrusted by companies, or other information useful for career formation or job-seeking activities.

Article 3. Change, etc. of Registered Matters and Withdrawal
1.	The Members may change, add to or delete registered matters freely at any time of their own volition, however they shall assume responsibility for registered matters themselves.
2.	The Members may freely withdraw at any time. If any person desires to withdraw, please email [email protected] with “desire to withdraw” in the subject line.

Article 4. Password and User ID Management
1.	The Members shall manage and store passwords and User ID relevant to the Services properly at their responsibility and must not allow a third party to use, or lend, assign, change the name, or sale/purchase, etc. thereof.
2.	Liability for damage arising due to inadequate management, errors in use or use by a third party, etc. of passwords or User ID shall be assumed by the Members, and the Company shall assume absolutely no liability.

Article 5. Prohibited Matters for Members
1.	The Members shall not commit any of the acts in the following items when registering for the Services and using the Services:
(1)	Declaration or provision of false information,
(2)	Slandering, defaming, insulting, threatening or defrauding other Members, Recruiting Companies and their employees, the Company and its employees, and any other third parties relevant to the business of the Company,
(3)	Infringement of copyrights, trademark rights, other intellectual property rights, portrait rights, privacy, dignity or other rights or interests of other Members, Recruiting Companies and their employees, the Company and its employees, and any other third parties relevant to the business of the Company,
(4)	Interfering in business or operation of the Services, or acts that might damage the credibility of the Company,
(5)	Acts against the public morals and order, or laws, or acts that will or might be linked to criminal acts,
(6)	Impersonation of a third party,
(7)	Use of IDs or passwords of other Members,
(8)	Collection of information on other Members,
(9)	Provision of benefits to anti-social forces, etc., or
(10)	Any other acts judged inappropriate by the Company.

Article 6. Removal of Members
When the Company judges that a Member has breached prohibited matters in the TOS, or that the trust relationship between the Member and the Company cannot be maintained, or when the Member fails to make contact even after one (1) month from the day when the Company sends an inquiry or contacts the Member for any other answer, etc., or in any other case when the Company judges that the relevant person is inappropriate as Member, the Company may cancel provision of the Services to the Member and remove the Member. In addition, the Company shall assume absolutely no liability for any damage arising from cancellation of provision of the Services and removal. Moreover, in such instance, for questions, etc. relevant to such judgments, the Company shall have no obligation to answer or provide any other response.

Article 7. Confidentiality
The Members shall handle as confidential the information that is not in the public domain and disclosed by the Company to the Member in relation to the Services requesting confidential treatment, except for in the case where there is the prior written approval of the Company.

Article 8. Handling of Personal Information
1.	The Company shall use registered Personal Information for the following objectives:
(1)	Authorization as a Member, DM distribution from Recruiting Companies and other sponsor companies, seminar guidance by phone, contact by the Company relevant to the Services, or for any other purpose necessary for provision of the Services to the Members,
(2)	Preparation for statistical data in relation to Services processed in a form by which an individual cannot be identified,
2.	The Company shall not provide Personal Information to a third party without the consent of the Member except for in the case where disclosure thereof is allowed under the Act on the Protection of the Personal Information and other laws and regulations.
3.	Personal Information on a Member provided to Recruiting Companies, etc. by the Company with the consent of the relevant Member shall be managed by individual companies for the purpose of internship after entry or contact in the process of screening for or recruiting activities or other purposes. Please inquire directly of the individual company on handling of the Personal Information managed thereby. Recruiting Companies are prohibited from using the Personal Information of Members acquired through use of the Services for purposes other than activities of the Services.
4.	The Company shall, when disclosure, etc. (notification on purpose of use, disclosure, correction of content, addition, suspension of use, deletion and suspension of provision to a third party) of Personal Information is requested by a Member in accordance with the provisions of the Act on the Protection of the Personal Information, upon confirmation of the fact that such request has been made by the Member himself/herself, the Company shall perform necessary handling. Please contact the window specified in the following paragraph for procedures such as disclosure, etc.
5.	Please make an inquiry to the following window for opinions, questions, complaints or other inquiries about handling of Personal Information.

Article 9 Indemnification, etc.
1.	The Company makes no guarantee whatsoever that the Services conform to the specific purposes of the Member; that the Services have the expected accuracy and usefulness, or that the use of the Services by a Member conforms to the laws and regulations applicable to the Member.
2.	The Company shall assume absolutely no liability for compensation for any and all damage (mental pain, suspension of job-seeking activities or any other disadvantages including monetary damage) incurred by Members relevant to the Services.
3.	The Company shall assume absolutely no liability for disputes, etc. arising between a Member and another Member or Recruiting Companies in relation to the Services.
4.	When a Member causes any damage to a third party due to registration or use of the Services, that shall be settled at the responsibility of the Member and the Company shall assume no liability.

Article 10. Liability
If a Member causes damage to related parties of the Company or a third party in violation of the TOS, the Member shall compensate for the damage.

Article 11. Amendment to the TOS
The Company may change, add to or revoke (changes, etc.) the TOS as necessary without the approval of the Members. The Company shall notify the Members of the details of the relevant change, etc. when the Company makes changes, etc. to the TOS, and if a Member uses the Services or fails to perform procedures for cancellation of registration within the period specified by the Company after notification of the details of the relevant change, etc., the Member shall be deemed to have consented to the change of the TOS.

Article 12. Contact and Notification
Inquires relevant to the Services, or any other contact or notification from the Members to the Company, notification on change of the TOS and any other contact or notification by the Company to the Members shall be made by the method specified by the Company.

Article 13. No Assignment
The Members must not assign, or transfer to a third party, or encumber or perform any other disposition of status as Member or rights or obligations under the TOS.

Article 14. Jurisdiction
The TOS and the Services shall be governed by the laws of Japan, and any disputes arising from the TOS and the Services shall be subject to exclusive jurisdiction of Tokyo District Court or Tokyo Summary Court as court of first instance.

株式会社ASIA to JAPAN（以下、「当社」といいます。）のStudy Go Work JAPANサービスのご利用についての利用規約（以下、「本規約」といいます。）です。
必ずご一読の上、ご同意いただき本サービスをご利用下さい。

第１条 定義
１．「会員」とは、第２条に基づいて本サービスの利用者としての登録がなされた個人のことです。
２．「本サービス」とは、当社がStudy Go Work JAPANサービスとして会員に提供するキャリアコンサルティングサービス及びこれに付随するメールマガジンの配信、イベント案内等その他関連サービスのことです。
３．「求人企業」とは、本サービスに関連するイベントやウェブサイトに参加して求人活動を行う企業をいいます。
４．「個人情報」とは、会員個人に関する情報であって、当該情報を構成する氏名、住所、電話番号、メールアドレス、在籍学校名、その他の記述等により当該個人を識別できるもの（当該情報のみでは識別できないが、他の情報と容易に照合することができ、それにより当該個人を識別できるものを含む）をいいます。

第２条 登録
１．本サービスの利用を希望する者は、本規約を遵守することに同意し、かつ当社の定める一定の情報（以下、「登録事項」といいます。）を当社の定める方法で当社に提供することを条件として、本サービスの利用の登録をすることができます。
２．会員は、登録時に、当社が会員に対して、各種就職関連の情報のご案内、各種アンケート調査、企業からの委託を受けた企業個別の就職案内、その他キャリア形成や就職活動に役立つ情報を送付(E-mailによる送信を含む)することについて同意したものとみなします。

第３条 登録事項の変更等および退会
１．会員は、いつでも自由に自分の意思で登録事項を変更、追加及び削除することができますが、登録事項については、会員自らが責任を負うものとします。
２．会員はいつでも自由に退会をできるものとします。退会を希望される方は、「退会希望」と件名に記入して、[email protected]にメールしてください。

第４条 パスワード及びユーザーIDの管理
１．会員は、自己の責任において、本サービスに関するパスワード及びユーザーIDを適切に管理及び保管するものとし、これを第三者に利用させ、または貸与、譲渡、名義変更、売買等をしてはならないものとします。
２．パスワードまたはユーザーIDの管理不十分、使用上の過誤、第三者の使用等によって生じた損害に関する責任は会員が負うものとし、当社は一切の責任を負いません。

第５条 会員の禁止事項
会員は本サービスへの登録時、及び本サービス利用時に、以下の各号の行為を行わないものとします。
⑴虚偽の情報を申告または提供する行為
⑵他の会員、求人企業及びその従業員、当社及びその従業員、その他当社の業務に関わる第三者に対する誹謗中傷、侮辱、脅迫及び詐欺行為
⑶他の会員、求人企業及びその従業員、当社及びその従業員、その他当社の業務に関わる第三者の著作権、商標権、その他の知的財産権、肖像権、プライバシー、名誉、その他の権利または利益を侵害する行為
⑷本サービスの業務、運営を妨げる行為。または当社の信用を毀損するような行為
⑸公序良俗や法に反する行為、及び犯罪的行為に結びつく、またはそのおそれのある行為
⑹第三者になりすます行為
⑺他の会員のIDまたはパスワードを利用する行為
⑻他の会員の情報の収集
⑼反社会的勢力等への利益供与
⑽その他当社が不適切と判断する行為

第６条 会員の除名等
当社は、会員が本規約禁止事項に違反したと判断した場合、または、会員と当社との信頼関係が維持できないと判断した場合、当社からの問合せその他の回答を求める連絡を行った日から1ヶ月経過しても会員からご連絡のない場合等、会員として不適切と判断した場合には、当該会員に対して、本サービス提供の中止及び除名を行うことができます。尚、本サービス提供の中止及び除名から発生する一切の損害について、当社はなんら責任を負わないものとします。また、これらの場合において、その判断に関する質問等については回答およびその他一切の対応を行う義務はないものとします。

第７条　秘密保持
　会員は、本サービスに関連して当社が会員に対して秘密に取り扱うことを求めて開示した非公知の情報について、当社の事前の書面による承諾がある場合を除き、秘密に取り扱うものとします。

第８条 個人情報の取扱い
１．当社は、登録いただいた個人情報を、以下の目的で利用します。
⑴会員認証、求人企業その他スポンサー企業からのDM配送、電話によるセミナー案内、本サービスに関する当社からの連絡その他会員に対する本サービスの提供にあたり必要な目的のため
⑵本サービスに関連して、個人を識別できない形式に加工した統計データを作成するため
２．当社は、個人情報保護法その他の法令に基づき開示が認められる場合を除くほか、あらかじめ会員の同意を得ないで、個人情報を第三者に提供しません。
３．当社が会員の同意を得た上で求人企業等へ提供した当該会員の個人情報は、エントリー後のインターンシップや採用活動の選考過程における連絡等の目的で各企業が管理します。各企業が管理する個人情報の取扱いについては、各社に直接お問い合わせください。求人企業は本サービスを利用して取得した会員の個人情報を本サービスの活動以外の目的で利用することは禁じられています。
４．当社は、会員から、個人情報保護法の定めに基づき個人情報の開示等（利用目的の通知、開示、内容の訂正、追加、利用の停止、消去及び第三者への提供の停止）を求められたときは、会員ご本人からのご請求であることを確認の上、必要な対応をします。開示等の手続きにつきましては、次項に定める窓口までご連絡ください。
５．ご意見、ご質問、苦情のお申し出その他個人情報の取扱いに関するお問い合わせは、下記の窓口までお願いいたします。

第９条 免責等
１．当社は、本サービスが会員の特定の目的に適合すること、期待する正確性及び有用性を有すること、会員による本サービスの利用が会員に適用のある法令等に適合することについて、何ら保証するものではありません。
２．当社は、本サービスに関して会員が被った一切の損害(精神的苦痛、求職活動の中断、またはその他の金銭的損失を含む一切の不利益)について、賠償する責任を負わないもとします。
３．本サービスに関連して会員と他の会員または求人企業との間において生じた紛争等については、当社は一切責任を負いません。
４．会員が本サービスの登録及び利用により、第三者に対して損害を生じさせた場合、会員の責任において解決するものとし、当社は何らの責任を負いません。

第１０条 損害賠償責任
会員が本規約に違反して、当社関係者または第三者に損害を与えた場合、会員はその損害を賠償するものとします。

第１１条　本規約の変更
当社は会員の了承を得ることなく、本規約を随時変更、追加、削除（以下「変更等」といいます。）することができます。当社は、本規約を変更等した場合には、会員に当該変更等の内容を通知するものとし、当該変更等の内容の通知後、会員が本サービスを利用した場合または当社の定める期間内に登録抹消の手続をとらなかった場合には、会員は、本規約の変更に同意したものとみなします。

第１２条 連絡・通知
　本サービスに関する問い合わせその他会員から当社に対する連絡または通知、及び本規約の変更に関する通知その他当社から会員に対する連絡または通知は、当社の定める方法で行うものとします。

第１３条 会員の地位の譲渡等
　会員は、会員の地位または本規約に基づく権利もしくは義務につき、第三者に対し、譲渡、移転、担保設定、その他の処分をすることはできません。

第１４条 管轄裁判所
本規約および本サービスに関する準拠法は日本法とし、本規約および本サービスから生ずる紛争については、東京地方裁判所または東京簡易裁判所を第一審の管轄裁判所の専属とすることに合意します。
