under threat of a penalty payment of 600,- EUR

according to §§ 67, 71, 77 and 78 BGB as well as §§ 388 ff FamFG,

within a period of four weeks



to register the resignation of the Chairman and the Deputy Chairman as well as the new appointment of the Executive Board members in publicly certified form. The notification must be made together with another member of the Board of Management (according to the Articles of Association, two members of the Board of Management are jointly authorized to represent the company).



As a member of the Management Board, you are obliged to register properly. To ensure proper registration, it is essential to attach proof of resignation to the registration This can be done, for example, by submitting the minutes of the general meeting at which a resignation was made, together with the letter of invitation.

Alternatively, the resignation letters of the Executive Board members can also be submitted.



By letters dated 25.01.2021, 09.06.2021, 19.08.2021 and 28.09.2021, we requested that you notify us of any changes to the Board of Directors or the Articles of Association.

Only the first request was responded to with an email. But since then the further requests remained unanswered.

Despite numerous requests, you have not notified the board change, which is why the threat of a penalty payment is being made.


You are therefore ordered to register within a period of 4 weeks beginning with the delivery of this order, or to justify your failure to do so by filing an objection to this order.
Otherwise, a penalty payment of 600.00 EUR will be imposed on you.

You may lodge an objection in writing or on the record at the Registry Office.
