Section 10(b) Fraud Elements

To prevail on a
Section 10(b) violation claim, a plaintiff must prove that (1) a defendant made a material
misrepresentation or omission (2) with scienter, (3) that plaintiff relied on the misrepresentation
or omission, (4) that plaintiff suffered an economic loss that (5) was caused by the
misrepresentation or omission.
