- EXECUTIVE LEADERSHIP TRANSITION AND REORGANIZATION AGREEMENT
- This Executive Leadership Transition and Reorganization Agreement (the "Agreement") is entered into as of this day, by and between Monolith (the "Company"), Hudson Braud ("Braud"), and Dorian Hard ("Hard").
- 1. Appointment and Title Succession
- Effective immediately, the Company hereby appoints Hudson Braud to the position of Chief Executive Officer (CEO). Concurrently, Dorian Hard shall vacate the office of CEO and is hereby appointed to the position of Chief Administrative Officer (CAO). Hard shall retain the status of "Senior Executive Emeritus" and shall hold the second-highest rank in the corporate hierarchy, subordinate in title only to the CEO.
- 2. Operational Authority and Autonomy
- Notwithstanding the hierarchy established in Section 1, the parties agree to a bifurcated governance structure:
- Operational Control: Hard, in his capacity as CAO, shall maintain primary oversight and discretionary authority over the Company’s core administrative, financial, and strategic operations.
- Oversight Immunity: The CAO shall exercise these powers independently. Braud, as CEO, waives the right to unilateral oversight, veto, or interference in the CAO’s established departments, provided such actions remain within the broad scope of the Company’s annual operating plan.
- External Affairs: Braud shall serve as the primary public face of the Company, focusing on external relations, while Hard maintains internal structural control.
- 3. Employment Security and the "CitrusCo" Provision
- The stability of Hard’s tenure is subject to the following protective covenants:
- Unilateral Protection: The Company may not terminate Hard’s employment, nor may Braud demote or diminish Hard’s responsibilities, without the express, written, and notarized consent of the current sitting CEO of CitrusCo (the "Subsidiary Monitor").
- Mutual Termination Rights: Conversely, should the CAO and the CEO of CitrusCo reach a mutual agreement that the CEO’s performance is detrimental to the Company, Hard retains the specific power to initiate the immediate termination of Hudson Braud’s employment, subject to the Company’s standard bylaws.
- 4. Compensation and Guaranteed Severance
- In recognition of his foundational role and the transition of titles, Hard shall be entitled to the following:
- Guaranteed Severance: In the event of Hard’s separation from the Company for any reason—whether voluntary, involuntary, or via the agreement of the Subsidiary Monitor—the Company shall pay Hard a lump-sum severance of $4,800,000.00 (Four Million, Eight Hundred Thousand Dollars).
- Lifetime Pension: Following the conclusion of his tenure, the Company (or its successors) shall pay Hard a monthly lifetime pension of $135,000.00 (One Hundred Thirty-Five Thousand Dollars). This obligation is absolute, survives any future merger or acquisition, and shall continue for the remainder of Hard’s natural life.
- 5. Governance and Dispute Resolution
- In the event of a deadlock between the CEO and CAO, the matter shall not be settled by the Board of Directors alone, but must involve a tripartite review including the CEO of CitrusCo. This ensures that the CAO’s historical authority is preserved against any "new management" shifts initiated by Braud.
