Starting a SaaS company(startup) in India

  1. I want to start a product development (software/SaaS) company in India. I am still at the early stages of developing the product (and do not have any potential customer/lead either). As of now I am looking at bootstrapping the company but may start looking for funds after 4-6 months where I expect to have atleast few good leads.

  3. I also want to do software-consulting under the company's name. I have been doing that successfully as an independent for a while now and would like to move it under the company - but non-product services is not a long term goal for the company.

  5. The company may have multiple products (smaller) that might be launched under its umbrella.

  7. I do not have any partners/co-founders yet - but I am talking to couple of folks to join me.

  9. Q: What kind of company should I be starting? (cost is not an issue)

  11. 1. Sole proprietorship or Partnership firm
  12. 2. Private Limited
  13. 3. LLP (Limited liability partnership)
  14. 4. OPC - This seems new and not too clear if I should even think about it.
  15. 5. any other option?

  17. I have spoken to few CAs (chartered accountants) and they suggested to start as sole-propietorship first. But on further questioning I found that they did not have experience on software product companies (and I am not in Bangalore)

  19. Also to complicate things a bit more - one of my (possible) co-founders is in Canada (i.e citizen there).

  21. Also few of my friends (from corporate banking) suggested that I hire/consult a lawyer before launching my product. That got me concerned a bit.
  22. Q: What are any other such unspoken not-mandatory todos that I should consider - especially when starting a product company in India.

  27. P.S: I sometimes feel I am recently focusing more on the company formation than the product itself - but may be its necessary procedure
