- addressed to Shri Milap Jain, DGl`l` (Inv) Delhi seeking information on one Ms, Nira Radiat.
- On the basis of specific infomation received from the CBDT; the telephone lines of Ms
- Nira Radia and sonic of her associates were put under observation utter obtaining permission
- from the Home Secretary. Ms Niro Radia is chief of M/s Vaishnavi Corporate Consultants Pvt
- Ltd, M/s Noesis Suategie Consulting Services Pvt. Ltd., M/s Vitcom and M/s Neucom
- Consulting. These companies are involved in consulting in Telecom, Power, Aviation and
- Infrastructure. These entities not only manage the media but as per conversations, apparently try
- to influence policy changes and decisions of the various gnvcmment departments to suit the
- commercial requirements of their clients.
- l. From conversations it appears that Ms Nita Radio might have had some role with regards
- to the award of Telecom licenses. ln a conversation she guides a new telecom operator on the
- need to delay the inflow of funds from the overseas investor and not to give the impression to the
- govemment that there has been any ‘v·in<lf¤.ll{ profit.
- 2. There are some direct conversations between Ms. Radia and Telecom Minister. In some
- other conversations Ms Radiat boasts to have helped some of the telecom operators in their
- efforts to obtain licenses/spectrum. Ms Radia has also been in regular touch with Shri Chandolia
- Il` deemed necessary, you may depute an officer to collect the extract from the
- undersigned. Further, in ease during the course of your investigation you come across

- The 9 lines kept under surveillance during the month belong to two separate
- groups. The first group relates to a Public Relation (PR) agency and comprises of6
- lines under interception for l20 days from 20* August 2008 onwards. The group was
- again brought under interception vide order dated ll"' May 2009 and the period of
- l80 days would be over on l0°' July 2009. The conversation of thcjtargel and
- associates indicate laundering and structured payoffs transactions and liaison for ._
- projects of telecom and power. They also indicate cross border transactions related to
- Telecom, Petroleum and also media. With reference to corporate client of the target,
- after processing raw intelligence, actionable infomration of possible cross border
- tnrnsactions has been passed on to the field formation for further necessary action. As
- regards other clients. there are series of inputs mostly relating to third party _
- conversations contents whereof need some preliminary cross·verification before
- coming to a logical conclusion. A final impact analysis shall be submitted once the l
- interception in this group is concluded.
- The second group comprises 3 numbers. Calls in this group appear to relate to
- financial transactions ranging in crores including foreign bank accounts and
- unauthorized intemational derivative transactions. There are also some calls relating .
- to cricket betting. These people also appeared to be involved in cross border
- transactions about which some infomation has been gathered. The infomation
- processed so far has already been passed on to the field fonnation for further action.
- No firrther extension is being sought in this case. Detailed impact analysis shall be
- submitted.

- The target as pcr tclcphonc conversations along with associates, has apparently fronted lbr
- someone to acquire a news channel in india. There appear to have been some cross
- border transactions in this acquisition. 'l`he target is also spreading business connections
- lo Africa including investments in Guinea and Senegal.
- Conversations ofthe target with a businessman who is also a government nominee cna
- state PSU appears to suggest that the target along with the businessman is trying to
- facilitate the takeover of this PSU by a large client of the target. A conversation also
- indicatw a quid·pro-quo with respect to another PSU. _
- The target has, as per telephone conversations, facilitated for a fee;-tiling of PlLs by
- NGOs to hurt the business interests ofthe rivals of clients. There are some third-party
- conversations relating to other corporate entities which indicate manipulations in their
- books. These entities include clients ofthe target and also some of their rivals. The
- contents of these conversations are being processed.

- 2. The second group comprises 3 (three) numbers. Callsin this group appear to

- cricket and other sports,. 'Iltese people also appeared to be involved in cross border
- transactions such as acquisition of assets through tax havens. Sorne of these proceeds
- have apparently come back into defunct Indian companies. This intelligence has been
- matched against information in the public domain. The information thus processed has
- _ already been passed on to DIT (Inv) Delhi formation for further action.

- This whisper can be better understood in the following context:
- Telephone lines of Neern Radia and some of her associates have been put under observation.
- Neera Radia is chief of Vaishnavi Corporate Consultants Pvt Ltd, Noesis Consulting, Vitcom
- and Ncuoom Consulting (started in November 2008). Vitcom has been handling the business of
- NDTV imagine while Neucomm was set up essentially for the purpose of handling the affairs of 1
- the Mukesh Ambani Group of industries, Vaishnnvi handles the media affairs as well as
- ‘environment managemenf for the Tata Group, Unitech, Star TV along with other corporate
- clients. While Noesis oflicially comprises of retired senior bureaucrats, it is controlled by Smt
- Radia and is involved in consulting in Telecom, Power, Aviation and infrastructure. These
- entities not only manage the media but also allegedly ensure that policy changes and decisions of
- the various govemmcnt departments suit the commercial requirements of their clients. The group
- also interferes in the appointment of ministers so as to dovetail the same to the commercial
- interests of their clients.
- intercepted Telephone conversations suggest that Neera Rodin has had a role to play in the
- managing of policy changes at the highest level of government including those leading to the
- award of Telecom license to Unitech Wireless, the Telecom arm of the Unitech, Swan Telecom,
- Aircell and for various other telecom operators. Very chen, telephone conversations seem to
- suggest, a large number of confidential documents and policy papers seem to reach Smt Radia.
- Further Vaishnavi through certain chartered accountant associates, who are entry operators,
- provide services for arrangement of adjustment entries and structured payofk.
- The l`ollowing‘are some other inputs relating to telecom sector picked up from the conversations:
- l. Mrs Radia is a very close associate of Shri A. Raja, Telecom Minister and has been
- instrumental in getting licenses and spectrum to the following:
- i. Swan`Telccom ·
- ii. Aircell V
- iii. Unitech Wireless
- iv. Datacom.
- a. Of the above Datacom setup by HFCL group along with Mr. Dhoot of
- Videocon is alleged to be having funding through the Mukesh Ambani group
- and an employee of Reliance, Manoj Modi who is constantly in touch with
- Mrs. Radio.
- b. Swan on paper backed by ¤ Mumbai based real esuxte company, Dynamix
- Balwas group of companies was apparently through the efforts of Nira Radia
- favoured by Raja Mi.nister for Telecom in allotment of license and also in the
- priority list of spectrum, in Delhi and Mumbai circle, as per the seniority list
- prepared by the Department of Telecom. UAE's telecotn giant Emirates
- Telecommunications Corp (Ehtisalat.) controls about 45% of Swan Telecom
- for up to $900 million,. This deal valucs Swan Telecom at $2 billion. At
- present Mauritius-based Delphi Investments Ltd holds 9.9% stake in Swan.. A
- 90. l% stake in Swan Telecom is owned by Tiger Trustees Pvt. Ltd, which in
- tum is 99.8 per cent owned by Dynamix Balwas Ltd which has allegedly
- received round tripped firnds. The conversations seem to suggest that the
- minister Shri. A Raja and Mrs. Radia too have equity interest in Swan und her
- associates are to be put on the board.

- d. Aircell has as shall be explained seems to have some interest of the Tata
- Group. ‘ '
- 2. 'lhere is a long conversation between Mr. Ratan Tata and Mrs. Radia which
- establishes that Mr. Tata wanted to prevent Dayanidhi Maran from becoming telecom _
- Minister at any cost. Apparently, Tata indirectly controls equity in Aircel through '
- ‘ Mantis Communication and Apollo. Mr. Tata felt the need to·exit telecom_(T ata
- Telecom or Aircell is not clear) in case Mr. Maran become Minister (telecom).
- 3. Tata through Voltas is in touch with Ncera and Ratnarn, CA of Ammal wife of M
- Karunanidhi. 'l`hey are apparently going to construct a building in Chennai on a land.
- controlled by “Trill" with the Karunanidhi family as payoff DMK for keeping Maran
- out of Telecom.
- 4. On Mrs. Radia’s & Kanimozhi’s behalf Barkha Dutt & Vir Sanghvi were negotiating
- - for ministerial birth DMK members especially Raja with Congress members.
- 5. Airtel wanted Raja out and to take back spectnrm provided. He terms ADAG group
- as Evil Empire.
- 6. Some close associates of Mrs. Radia in relation to this work are. (i) Tarun Das, (ii)
- Vir Singhvi Er (iii) Sunil Arora LAS officer Rajsthan Cadre.
- 7. As mentioned earlier Mrs. Radia was very close to Ratnam, CA of Mrs. Kanrnanidhi
- ¤ (Ammal), Kanimozhi and off course Raja. She was to meet Raja in relation to their _
- common investment in Swan Telecom and other matters. .
- 8. Sunil Mittal of Bharti Airtel had been lobbying to prevent Raja from becoming
- ` Telecom Minister essentially for three rcasonssfirst (i) GSM lobby aggrieved at the
- favor shown to CDMA lobby on spectrum, (ii) Mr. Mitral was lobbying for
- Dayanidhi Mamn. (iii) there appears to be some irregularity in purchase of
- . Vodaf`one‘s investment in Bharti Airtel this is being reported separately. Sunil Mittal
- contacted Mrs. Radia and wanted her to work for him on informal basis. Mrs. Radia
- said she would as long as there was no conflict of interest with TATA’s. However,
- she would help him mend fences (for a fees with Telecom Minister Raja). There is a
- third person who apparently met Sunil Mittal at Sohail Setl1‘s house who is acting as
- a link between Mr. Mittal and Mrs. Radia. (l l0537)
- 9. The same gentle man also spoke to Mr. Mukesh Ambani who expressed his
- reservation about Mrs. Neera Radia working for Mr. Mittal and so Mrs. Radia and
- this gentle man will do it on an infomtal basis.-
- l0. Apart from allegedly managing the telecom license for Unitech, Smt Radia has ’
- handled ami facilitated cross border transfer of hmds. Telenor has apparently
- purchased 60% of the equity for Rs. 6120/- crore thereby valuing the project at over
- Rs. 10,000 crore and the value of the license at over Rs. 4000 crore. This is far in
- excess ofthe market value ofthe telecom license and in the equity that is sought to be
- brought in within the next I2 months part of the round trip funds would make their
- way into India. Another conversation between Radia and Ajay Chandra suggest that
- - - the government is investigating the Telecom license issue has sought details of sale of _
- interest in the telecom venture. The crux of the conversation is to stagger the inflow
- of funds and to give the impression to the government that the funds have only come
- into the telecom company and that here has ncl been any ‘windfall' gain to the ·
- promoters of Unitech as such. . '
- ll. Tatas have given Rs. 250 croes to Unitech through Neem Radia
- Telephone lines of Necra Radia and some ol' her associates have been put under observation after
- obtaining permission from tl1e Home Ministry. Neera Radia is chief of Vaishnavi Corporate
- Consultants Pvt Ltd, Noesis Consulting, Vitoom and Neucom Consulting (started in November

- “managing" important CPI (M) leaders; (Neera apparently has an independent very good
- relationship with certain left front and CITU leaders). `
- Apart from allegedly managing t.he telecom license for Unitech, telephone conversations seem to
- hint that Smt Radia has either handled and facilitated cross border transfer of ftmds or is in the
- know of the same. Lehmann brothers were supposed to invest three tranches in Unitech‘s
- Mumbai project. The lirst investment that was done was Rs. 740 crores towards 50% of
- Unitech’s holdings in Shivalik Ventures Pvt ltd a 50-50 IV SPV between Unitech and Rohan `
- Devlopers Mumbai. The balance was to come in two tranches of around USS 550 million.
- Analysis of a series of conversations reveal that of the investments to be routed into India
- through Lehman Brothers Real Estate Partners, investing "third pany funds in real cstate" at
- least n part comprised round tripped funds and when Lehmann brothers collapsed, only one
- tnanchehad come and thebalance was stuck. Conversations suggest that part of the funds would
- be re·routed through the deal structured with the International partner in the sale of equity in the .
- Unitech Telecom entity. The initial discussions appeared to be with Telecom Italia as well as
- Telenor while the deal was finally closed with Telenor of Norway. ‘ ·
- Another conversation between Radia and Ajay Chandra of _Uniteeh.suggest that the government

- A series of conversation of the associates of Anil Bansal and R.S. Bansal associates of Radia also
- suggest that Unitech group, apart from others had taken accommodation entries to the tune of Rs.
- 200 to 300 crore under the guise of purchase of computer software from them apparently to talte
- out cash and suppress income. Further-the operators claim to have also provided loan entries so
- as to-take out cash. The operators, nervous by the problems of Unitech and the fall of the stock
- markets were keen to reverse these loan entries to prevent any future recoveries from them or
- their entities. I

- conversations in. this regard. One such conversation talks about a mail ' Irom
- _ Muthuraman and by Mr. Baijal, her associate for investment in Guinea and Senegal

- 5. Mrs. Radia appears to be instrumental in organizing certain institutional land in
- Rajasthan through her close associate Sunil Arora, an lAS Otticer, former PS to CM,)
- Rajasthan.
- 6. Unitech as per conversations holds TATA’s Rs 250 crore which were organized by
- Mrs. Radia. Many cheques of Uniteeh for re-payment have bounced

- seems to be trying to implicate members ofthe ADAG for being responsible in the
- PIL filed against the RIL &. RPL merger where certain people have been caught in a_
- . string operation seeking money from RIL to withdraw the PIL.
- I0. FICCI Chief Tarun Das is Chairman of Haldia Petrochem (govt nominee) as per a
- conversation apparently Mr. Mukesh Ambani wants to take over Haldia Petro
