AdAdvisor Terms of use

1. Indemnification. Partner shall indemnify, hold harmless and defend AdAdvisor and its officers, director and employees from and against all costs, liabilities and expenses (including without limitation reasonable attorneys’ fees) incurred by an indemnified party in connection with any third party claim arising from
(b) gross negligence, willful misconduct or fraudulent actions of Partner, or
(c) an allegation that the Partner Material infringes upon a third party’s Intellectual Property Right.
