  27. We are willing to offer the stock you are owed. I have to check, but it may have already been issued. Should that be the case, this whole thing would be a moot point.
  28. In addition, the revenue stream from the customer base that was what you provided for the stock.
  29. In other words, you would be getting your company back and keep your stock.
  30. The alternative was outlined in the email I sent last.

  41. Seems as if this is a one way conversation still (I was hoping to have a real dialogue but understand that may not be possible). A conversation is the exchange of "both" parties address points/ideas and not only one party. "Action" withstanding thought carries little weight/substance in any scenario (especially when forming a business plan in one day and putting it into "action" the next).
  42.
  43. Try this: Next time you receive an email from someone you respect/respected who's feedback requires some time to think before responding, take a few hours before actually responding. It will help both parties have an actual conversation instead of a pissing battle which is derived from only emotional thoughts.
  44.
  45. Please review my last message. I addressed your points and hardly asked a real question of my own, yet you avoid my points almost entirely and continue to hurl all of your keyboard. It's fine to bring up new topics but read over your email before sending (or have someone else).
  46.
  47. BTW, to your point of offering more than I was contracted. What you offered me was an unprofitable business with angry customers that are not being supported. You don't have the technical resources to run the company or the money to buy any. This is the "easiest" offering (if you want to call it that) which I actually agreed to accept if you look at the last proposal from us.

  50. Joe,
  51. Let's talk about action.
  52. So far, my action has been to stick with things to make sure our staff have a job and our customers are successful.
  53. Yours have been to be disingenuous about time frame on when you would be leaving, what you would complete before you moved on, and most recently, an attempt to blackmail the company.
  54. You have such a huge moral resolve that you feel compelled to write that you were "asked to do something wrong" . Yet, you will only release that if you don't get paid an arbitrary amount of money?
  55. An amount that exceeds what you are even contractually owed to begin with.
  56. But.... your willing to write a nice "public statement" if you do get paid?
  57. Imagine what the public will think? The best part, is your attorney was bright enough to put it all in writing......
  58. Not to mention, the "press release" is a lie to begin with and it's easy for me to prove.
  59. You seem to forget the part where your last email said "We BOTH agreed not to move forward". You should also take a look at the previous emails on that chain, as they don't sound like a guy "not wanting" to do something.....
  60. Not withstanding, there are plenty of emails floating around my inbox showing what you have been "comfortable" with in the past.
  61. We are in the process of hiring a litigation firm to bring legal action against you for attempting to blackmail our company out of money and violating your NDA.
  62. To date, we have already offered you more than you are contractually entitled to (as an act of good faith)
  63. Like I said in my email the other day, make sure this is the path you want to go down. Once I bring these guys on retainer, there is not going back.
  64. Despite the appalling nature of your "negotiation tactics" and the bridges you have burned, I am more than willing to provide you what we contractually agreed on and move on.
  65. On Feb 11, 2015 8:31 PM, "Joe Mordica" <jmor...@gmail.com> wrote:
  66. If you want to talk about what I'm actually "owed" from promises you made to me (which I have not discussed with my attorney or anyone else) I would be more than willing to have a separate conversation.
  67.
  68. Frankly, I'm not confident any contracted equity was ever given based on the lack of responses and follow through from your end to negotiate.
  69.
  70. Also, to your original response, have you even consulted Dave as to whether or not the original message is blackmail? My guess is that he doesn't care to address it because it would be an emotional reaction to do so.
  71.
  72. Lastly, (to your last sentence) why would I ask for more than I'm entitled to? Have I ever "asked" for anything at all? I don't recall. I am negotiating nickels and dimes compared to some of the other expenses GAW owes.
  73.
  74. This may land on deaf ears but I feel like it needs to be said. With respect, go spend time with your family. Take a break (and I don't mean just not coming into the office). Put your phone down. Let Dan/Jonah run the company. Lean on your assets (employees). Don't react emotionally. I am saying, change your lifestyle/work habits.
  75.
  76. The only way people will begin to trust GAW again is for these things to happen. I know you want things to change but your actions don't show it. You keep doing the same thing (which will always yield the same results). Of course I don't want to see the thing I poured my life into go down the drain. I am confident in the decisions I made. I am also confident that if you realized the value in making the changes I've mentioned, you would have already done so ( hence the reason I felt the need to relay these thoughts to you again).

  87. What your doing is wrong. Trying to blackmail us to get more than you are owed is not going to work. I have no issue giving you what your entitled to. But more than that comes from our customers and staff, and I will not let that happen.

  500. There may be some confusion here.
  501.
  502. The controller I was offering is separate from gaw and would be in exchange for the work (help)
  503.
  504. The work is completely outside the company, and is not related to the company.

  510. With an investigation ongoing I can't be sure that the prime controller will still exist after it is over with, which would put me still having professional relationships with the company (if I were to do any work).
  511.
  512. I don't mind doing a good press release and taking back over the Voip company (both of which I have started the process of this morning).
  513.
  514. I'll need a few minutes of dan peases time to get the outstanding invoices paid for bandwidth and start swapping the billing information out but I can reach him direct no problem.

  689.
  690. Try this: Next time you receive an email from someone you respect/respected who's feedback requires some time to think before responding, take a few hours before actually responding. It will help both parties have an actual conversation instead of a pissing battle which is derived from only emotional thoughts.
  691.
  692. Please review my last message. I addressed your points and hardly asked a real question of my own, yet you avoid my points almost entirely and continue to hurl all of your keyboard. It's fine to bring up new topics but read over your email before sending (or have someone else).
  693.

  697. Joe,
  698. Let's talk about action.
  699. So far, my action has been to stick with things to make sure our staff have a job and our customers are successful.
  700. Yours have been to be disingenuous about time frame on when you would be leaving, what you would complete before you moved on, and most recently, an attempt to blackmail the company.
  701. You have such a huge moral resolve that you feel compelled to write that you were "asked to do something wrong" . Yet, you will only release that if you don't get paid an arbitrary amount of money?
  702. An amount that exceeds what you are even contractually owed to begin with.
  703. But.... your willing to write a nice "public statement" if you do get paid?
  704. Imagine what the public will think? The best part, is your attorney was bright enough to put it all in writing......
  705. Not to mention, the "press release" is a lie to begin with and it's easy for me to prove.
  706. You seem to forget the part where your last email said "We BOTH agreed not to move forward". You should also take a look at the previous emails on that chain, as they don't sound like a guy "not wanting" to do something.....
  707. Not withstanding, there are plenty of emails floating around my inbox showing what you have been "comfortable" with in the past.
  708. We are in the process of hiring a litigation firm to bring legal action against you for attempting to blackmail our company out of money and violating your NDA.
  709. To date, we have already offered you more than you are contractually entitled to (as an act of good faith)
  710. Like I said in my email the other day, make sure this is the path you want to go down. Once I bring these guys on retainer, there is not going back.
  711. Despite the appalling nature of your "negotiation tactics" and the bridges you have burned, I am more than willing to provide you what we contractually agreed on and move on.
  712. On Feb 11, 2015 8:31 PM, "Joe Mordica" <jmordica@gmail.com> wrote:
  713. If you want to talk about what I'm actually "owed" from promises you made to me (which I have not discussed with my attorney or anyone else) I would be more than willing to have a separate conversation.
  714.
  715. Frankly, I'm not confident any contracted equity was ever given based on the lack of responses and follow through from your end to negotiate.
  716.
  717. Also, to your original response, have you even consulted Dave as to whether or not the original message is blackmail? My guess is that he doesn't care to address it because it would be an emotional reaction to do so.
  718.
  719. Lastly, (to your last sentence) why would I ask for more than I'm entitled to? Have I ever "asked" for anything at all? I don't recall. I am negotiating nickels and dimes compared to some of the other expenses GAW owes.
  720.
  722.

  922. Should I reach out to Adam to get more details on the project? I hope you understand how important it is for me to be aware of the scope before committing as this would be sub-contracting work with a very small understanding of the details of the project.
  923.
  924. I would also need to secure the prime controller before beginning the project (but I can negotiate with Adam on terms) unless you haven't spoken to him already.

  939. I am managing the project.
  940.
  941. Why dont we do this. Since you agreed to taking back smart-tech in your previous email, lets wrap that up.
  942.
  943. Once thats done and everything is signed up, then we can revisit this.
  944.
  945. If you want to do the work, then we can sign over the controller, if not thats fine too. We should be able to find someone to work for a month and a half for 150k :)

  947. Sound good?
