SOFTWARE LICENSE AGREEMENT
By using the software you signify that you have read and agree to all the terms of this license agreement.

READ CAREFULLY: DAZ Productions, INC. ("DAZ3D") LICENSES THIS SOFTWARE TO YOU ONLY UPON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS CONTAINED IN THIS SOFTWARE LICENSE AGREEMENT ("AGREEMENT").

AGREEMENT. BY SELECTING THE "I accept the agreement" BUTTON BELOW THIS AGREEMENT OR BY INSTALLING THIS PROGRAM, USING THESE 3-D APPLICATION(S), MOTIONS, TEXTURE MAP(S), BUMP MAP(S) OR ANY OTHER 3D RELATED PRODUCTS, HERINAFTER REFERRED AS THE "PRODUCT", (OR AUTHORIZING ANY OTHER PERSON TO DO SO), YOU INDICATE YOUR COMPLETE AND UNCONDITIONAL ACCEPTANCE OF ALL THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT. A CONTRACT IS THEN FORMED BETWEEN DAZ3D AND EITHER YOU PERSONALLY, IF YOU ACQUIRE THE SOFTWARE FOR YOURSELF, OR THE COMPANY OR OTHER LEGAL ENTITY FOR WHICH YOU ARE ACQUIRING THE SOFTWARE.

IF YOU DO NOT AGREE OR DO NOT WISH TO BIND YOURSELF OR THE ENTITY YOU REPRESENT: (A) DO NOT INSTALL, UPLOAD, ACCESS, OR OTHERWISE COPY OR USE THE SOFTWARE; (B) SELECT THE "I do not accept the agreement" BUTTON BELOW THIS AGREEMENT (WHICH WILL CANCEL THE LOADING OF THE SOFTWARE); AND (C) WITHIN THIRTY (30) DAYS FROM THE DATE OF ACQUISITION, RETURN THE SOFTWARE AND ANY ACCOMPANYING DOCUMENTATION AND MATERIALS TO THE COMPANY FROM WHICH YOU ACQUIRED THE SOFTWARE FOR A REFUND.
INSTALLATION, UPLOADING, ACCESS, OR OTHER COPYING OR USE OF THIS SOFTWARE OR ANY ACCOMPANYING DOCUMENTATION OR MATERIALS EXCEPT AS PERMITTED BY THIS AGREEMENT IS UNAUTHORIZED AND CONSTITUTES A MATERIAL BREACH OF THIS AGREEMENT AND AN INFRINGEMENT OF THE COPYRIGHT AND OTHER INTELLECTUAL PROPERTY RIGHTS IN SUCH SOFTWARE, DOCUMENTATION AND MATERIALS. IF YOU INSTALL, UPLOAD, ACCESS, OR OTHERWISE COPY OR USE ALL OR ANY PORTION OF THIS SOFTWARE WITHOUT ENTERING INTO THIS AGREEMENT OR OTHERWISE OBTAINING WRITTEN PERMISSION OF DAZ3D, OR YOU FAIL TO COMPLY WITH THIS AGREEMENT, YOU ARE VIOLATING COPYRIGHT AND OTHER INTELLECTUAL PROPERTY LAW. YOU MAY BE LIABLE TO DAZ3D AND ITS LICENSORS FOR DAMAGES, AND YOU MAY BE SUBJECT TO CRIMINAL PENALTIES. SOFTWARE OBTAINED FROM THIRD PARTIES THAT HAVE NOT BEEN AUTHORIZED OR ALLOWED BY DAZ3D, DIRECTLY OR INDIRECTLY, TO SUPPLY SOFTWARE IS LIKELY TO HAVE BEEN MADE AVAILABLE IN VIOLATION OF DAZ3D'S RIGHTS.  IN SUCH AN EVENT, DAZ3D IS NOT OBLIGATED TO ISSUE AN ACTIVATION CODE OR OTHERWISE PERMIT YOU TO INSTALL OR USE THE SOFTWARE.

THIS LICENSE INCLUDES THE FOLLOWING:

1. GENERAL LICENSE AGREEMENT
2. TRIAL VERSION ADDENDUM TO THE GENERAL LICENSE AGREEMENT
3. PERSONAL LEARNING EDITION ADDENDUM TO THE GENERAL LICENSE AGREEMENT
4. ACADEMIC VERSION ADDENDUM TO THE GENERAL LICENSE AGREEMENT
5. OEM VERSION ADDENDUM TO THE GENERAL LICENSE AGREEMENT

GENERAL LICENSE AGREEMENT

A. LICENSE GRANT:
DAZ3D provides the user with storage media containing a computer program, computer software, including its code, objects (including their APIs) as well as any images, photographs, templates, animations, video, audio, music, text and "applets" incorporated into the software, the accompanying digital and/or printed materials, a License, and "online" or electronic documentation (together called the "Product") and we grant the user a license to use the Product in accordance with the terms of this License. Any supplemental software code and supporting materials provided to the user as part of support services provided by DAZ3D for the Product shall be considered part of the Product and subject to the terms and conditions of this License. The copyright and all other rights to the Product shall remain with DAZ3D or its licensors. The user must reproduce any copyright or other notice marked on the Product on all copies the user makes.

B. PROTECTION AND SECURITY:
User agrees not to disclose, publish, release, transfer, or otherwise make available the Product, or any portion thereof, in any form, to any person, without prior written consent from DAZ3D. User agrees that the Product is the property of and proprietary to DAZ3D, and further agrees to protect the Product and all parts thereof from unauthorized disclosure and use by its agents, employees, or customers. User shall be exclusively responsible for the selection, supervision, management, control, and use of the Product. User agrees to utilize its best efforts to see that its employees or any other user of the Product complies with the terms and conditions of this Agreement and refrains from taking any steps, such as reverse assembly or reverse compilation, to derive a source code equivalent of the 3-D Applications.

C. THE USER MAY:
1. install and use one copy of the Product on a single computer. The user may also make and use a second copy of the Product on a home or portable computer provided that copy is never loaded in the RAM of the home or portable computer at the same time it is loaded in the RAM of the primary computer.
2. also store or install a copy of the Product on a storage device, such as a network server, used only to install or run the Product on the users other computers over an internal network; however, the user must acquire and dedicate a license for each separate computer on which the Product is installed or run from the storage device. A license for the Product may not be shared or used concurrently on different computers.
3. make one copy of the Product for archive or backup purposes.
4. use only one (1) of the language versions if the Product provides the user with a selection of Multiple Language Versions.

NOTE:
DAZ3D products that provide PDF and/or TIFF-LZW and/or GIF and/or Postscript-LZW and/or LZW graphics capability utilize technology covered by U.S. Patent No. 4,558,302, and all foreign counterparts ("Unisys Patent"). The license granted to the user hereunder permits the user to use the Unisys Patent in conjunction with the use of this Product only. Use of any other product or the performance of any other activity involving the compression/decompression technology covered by the Unisys Patent requires a separate license from Unisys Corporation. This DAZ3D product contains software that is based in part on the work of the Independent JPEG Group (http://www.ijg.org/). This DAZ3D product utilizes Zlib library compression technology that is proprietary to Jean-loup Gailly and Mark Adler (http://www.zlib.net/) copyright © 1995-2002.

D. THE USER MAY NOT:
1. use the Product or make copies of it except as permitted in this License.
2. translate, reverse engineer, decompile, or disassemble the Product except to the extent the foregoing restriction is expressly prohibited by applicable law.
3. rent, lease, assign, or transfer the Product.
4. modify the Product or merge all or any part of the Product with another program.
5. separate the component parts of the Product for use on more than one computer.
6. reproduce, publish, distribute, share, or otherwise make available any portion of the Product on the world wide web (internet).

If this Product is OEM:

8. The user may not use or copy the Product if the user received the Product as a standalone. The Product must be purchased in conjunction with the DAZ3D approved partner products or services described in the Warning located on the Product storage media.

E. TERM:
This license shall remain in effect only for so long as the user is in compliance with the terms and conditions of this agreement. This license will terminate if the user fails to comply with any of its terms or conditions. The user agrees, upon termination, to destroy all copies of the Product. The Limitations of Warranties and Liability set out below shall continue in force even after any termination.

F. WARRANTY:
WE WARRANT THAT THE STORAGE MEDIA IN THIS PRODUCT WILL BE FREE FROM DEFECT IN MATERIALS AND WORKMANSHIP FOR THIRTY (30) DAYS FROM THE DATE USER ACQUIRES IT. IF SUCH A DEFECT OCCURS, RETURN THE MEDIA TO THE PLACE OF PURCHASE AND A REPLACEMENT PRODUCT WILL BE GIVEN TO THE USER FREE OF CHARGE. THIS REMEDY IS THE USERS EXCLUSIVE REMEDY FOR BREACH OF THIS WARRANTY. IT GIVES THE USER CERTAIN RIGHTS AND THE USER MAY HAVE OTHER LEGISLATED RIGHTS WHICH MAY VARY FROM JURISDICTION TO JURISDICTION.

G. LIMITATION OF WARRANTIES AND LIABILITY:
EXCEPT FOR THE EXPRESS WARRANTY ABOVE , THE PRODUCT IS PROVIDED ON AN "AS IS" BASIS, WITHOUT ANY OTHER WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABLE QUALITY, SATISFACTORY QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR THOSE ARISING BY LAW, STATUTE, USAGE OF TRADE, COURSE OF DEALING OR OTHERWISE. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE PRODUCT IS ASSUMED BY THE USER. NEITHER WE NOR OUR DEALERS OR SUPPLIERS SHALL HAVE ANY LIABILITY TO THE USER OR ANY OTHER PERSON OR ENTITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, LOSS OF REVENUE OR PROFIT, LOST OR DAMAGED DATA OR OTHER COMMERCIAL OR ECONOMIC LOSS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR THEY ARE FORESEEABLE. WE ARE ALSO NOT RESPONSIBLE FOR CLAIMS BY A THIRD PARTY. OUR MAXIMUM AGGREGATE LIABILITY TO THE USER AND THAT OF OUR DEALERS AND SUPPLIERS SHALL NOT EXCEED THE AMOUNT PAID BY THE USER FOR THE PRODUCT. THE LIMITATIONS IN THIS SECTION SHALL APPLY WHETHER OR NOT THE ALLEGED BREACH OR DEFAULT IS A BREACH OF A FUNDAMENTAL CONDITION OR TERM OR A FUNDAMENTAL BREACH. SOME STATES/COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO THE USER.

H. U.S. GOVERNMENT RIGHTS:
With respect to any acquisition of the Product by or for any unit or agency of the United States Government (the "Government"), the Product shall be classified as "commercial computer software", as that term is defined in the applicable provisions of the Federal Acquisition Regulation (the "FAR") and supplements thereto, including the Department of Defense (DoD) FAR Supplement (the "DFARS"). The Product was developed entirely at private expense, and no part of the Product was first produced in the performance of a Government contract. If the Product is supplied for use by DoD, the Product is delivered subject to the terms of this Agreement and either (i) in accordance with DFARS 227.7202-1(a) and 227.7202-3(a), or (ii) with restricted rights in accordance with DFARS 252-227-7013 (c)(1)(ii)(OCT 1988), as applicable. If the Product is supplied for use by a Federal agency other than DoD, the Product is restricted computer software delivered subject to the terms of this Agreement and (i) FAR 12.212(a); (ii) FAR 52.227-19; or (iii) FAR 52.227-14(ALT III), as applicable. The contractor/manufacturer is DAZ 3D, Inc, 12637 S 265 W,  Suite 300, Draper, UT, United States of America.

I. GENERAL:
This License is the entire agreement between DAZ3D and the User, superseding any other agreement or discussions, oral or written, and may not be changed except by a signed agreement. This License shall be governed by and construed in accordance with the laws of the state of Utah, USA, excluding that body of law applicable to choice of law and excluding the United Nations Convention on Contracts for the International Sale of Goods and any legislation implementing such Convention, if otherwise applicable. If any provision of this License is declared by a Court of competent jurisdiction to be invalid, illegal, or unenforceable, such a provision shall be severed from the License and the other provisions shall remain in full force and effect.

J. TELLWARE. This application is considered tellware. The user is required to tell two other people where to download this application (www.DAZ3D.com) in order to install and or use it. Note: During the alpha phase of testing, users will not be required to follow this program due to the test base being a closed group. During the alpha stage of testing, DAZ|Studio will only be distributed to Platinum Club members.

TRIAL VERSION ADDENDUM TO THE GENERAL LICENSE AGREEMENT

IF THIS PRODUCT IS IDENTIFIED AS A TRIAL VERSION, THE USE OF THIS TRIAL VERSION PRODUCT IS GOVERNED BY THE TERMS OF THE GENERAL LICENSE AGREEMENT AS MODIFIED BY THE TERMS OF THIS TRIAL VERSION ADDENDUM. IN THE EVENT OF ANY CONFLICT BETWEEN THE TERMS OF THE GENERAL LICENSE AGREEMENT AND THIS TRIAL VERSION ADDENDUM, THE TERMS OF THE TRIAL VERSION ADDENDUM SHALL GOVERN.

THIS TRIAL VERSION CONTAINS ANY OR ALL OF A LIMITED NUMBER OF MAJOR MODULE(S) INCLUDED IN THE RETAIL VERSION OF THE PRODUCT AND THESE ARE THE ONLY MODULE(S) THE USER WILL BE ABLE TO INSTALL. SOME FEATURES AND/OR ABILITIES OF THE FULL RETAIL VERSION OF THIS PRODUCT MAY HAVE BEEN SUSPENDED, OR WILL BE SUSPENDED AFTER THE DURATION OF THE TRIAL PERIOD HAS CONCLUDED. EXTRA VALUE COMPONENTS AND APPLICATIONS OF THE RETAIL VERSION OF THE PRODUCT MAY NOT BE INCLUDED. ANY EXTRA VALUE COMPONENTS AND APPLICATIONS OF THE RETAIL VERSION THAT ARE INCLUDED MAY ONLY BE ACCESSED OR USED DURING THE ACTIVE TRIAL PERIOD. ALL REFERENCES TO OTHER APPLICATIONS, EXTRA LIBRARIES OR OTHER CD-ROMS THAT MAY APPEAR IN THIS TRIAL VERSION OF THE PRODUCT MAY NOT BE APPLICABLE.

THE USER IS GRANTED A LICENSE TO USE THE TRIAL VERSION OF THE PRODUCT ONLY. SUCH LICENSE SHALL CONTINUE FOR THE PERIOD SET OUT ABOVE, AFTER WHICH TIME THE USERS LICENSE TO USE THE TRIAL VERSION SHALL TERMINATE.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE GENERAL LICENSE AGREEMENT, THE USERS MAY NOT TRANSFER OR ASSIGN THE PRODUCT OR ANY COPY THEREOF, OR THE USERS LICENSE TO USE THE PRODUCT TO A THIRD PARTY.

ANY ATTEMPT TO CIRCUMVENT ANY EXPIRY DATE TECHNOLOGY/TIME BOMB MECHANISM OR OTHER MECHANISM CONTAINED WITHIN THE SOFTWARE WHICH IS INTENDED TO LIMIT THE USERS ABILITY TO USE THE SOFTWARE TO A SPECIFIED PERIOD IS A VIOLATION OF THIS LICENSE. ANY ATTEMPT TO CIRCUMVENT ANY SUCH EXPIRY DATE TECHNOLOGY/TIME BOMB MECHANISM SHALL RESULT IN THE IMMEDIATE TERMINATION OF THE USERS LICENSE TO USE THE SOFTWARE.


PERSONAL LEARNING EDITION ADDENDUM TO THE GENERAL LICENSE AGREEMENT

IF THIS PRODUCT IS IDENTIFIED AS A PERSONAL LEARNING EDITION, THE USE OF THIS PERSONAL LEARNING EDITION PRODUCT IS GOVERNED BY THE TERMS OF THE GENERAL LICENSE AGREEMENT AS MODIFIED BY THE TERMS OF THIS PERSONAL LEARNING EDITION ADDENDUM. IN THE EVENT OF ANY CONFLICT BETWEEN THE TERMS OF THE GENERAL LICENSE AGREEMENT AND THIS PERSONAL LEARNING EDITION ADDENDUM, THE TERMS OF THE PERSONAL LEARNING EDITION ADDENDUM SHALL GOVERN.

THIS PERSONAL LEARNING EDITION CONTAINS ANY OR ALL OF A LIMITED NUMBER OF MAJOR MODULE(S) INCLUDED IN THE RETAIL VERSION OF THE PRODUCT AND THESE ARE THE ONLY MODULE(S) THE USER WILL BE ABLE TO INSTALL. SOME FEATURES AND/OR ABILITIES OF THE FULL RETAIL VERSION OF THIS PRODUCT MAY HAVE BEEN SUSPENDED. EXTRA VALUE COMPONENTS AND APPLICATIONS OF THE RETAIL VERSION OF THE PRODUCT MAY NOT BE INCLUDED. ALL REFERENCES TO OTHER APPLICATIONS, EXTRA LIBRARIES OR OTHER CD-ROMS THAT MAY APPEAR IN THIS PERSONAL LEARNING EDITION OF THE PRODUCT MAY NOT BE APPLICABLE.

THE USER IS GRANTED A LICENSE TO USE THE PERSONAL LEARNING EDITION OF THE PRODUCT ONLY. SUCH LICENSE SHALL CONTINUE FOR THE PERIOD SET OUT ABOVE, AFTER WHICH TIME THE USERS LICENSE TO USE THE PERSONAL LEARNING EDITION SHALL TERMINATE.

IF DAZ3D INDENTIFIES THE SOFTWARE AS A PERSONAL LEARNING EDITION, YOU MAY INSTALL AND ACCESS A SINGLE COPY OF THE SOFTWARE ON UP TO THE PERMITTED NUMBER OF COMPUTERS, ONLY FOR PERSONAL LEARNING PURPOSES, AND NO OTHER PURPOSE.  UNLESS OTHERWISE PROVIDED BY DAZ3D UPON PURCHASE OF THIS PRODUCT, PERSONAL LEARNING EDITIONS OF THE SOFTWARE MAY BE USED FOR AN INDEFINITE PERIOD OF TIME FROM THE DATE YOU FIRST INSTALL THE SOFTWARE. WITHOUT LIMITING THE FOREGOING, PERSONAL LEARNING EDITIONS OF THE SOFTWARE MAY NOT BE USED FOR COMMERCIAL, PROFESSIONAL, OR OTHER FOR-PROFIT PURPOSES AND FUNCTIONAL LIMITATIONS MAY APPLY, AS SET FORTH ABOVE.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE GENERAL LICENSE AGREEMENT, THE USERS MAY NOT TRANSFER OR ASSIGN THE PRODUCT OR ANY COPY THEREOF, OR THE USERS LICENSE TO USE THE PRODUCT TO A THIRD PARTY.

ANY ATTEMPT TO CIRCUMVENT ANY EXPIRY DATE TECHNOLOGY/TIME BOMB MECHANISM OR OTHER MECHANISM CONTAINED WITHIN THE SOFTWARE WHICH IS INTENDED TO LIMIT THE USERS ABILITY TO USE THE SOFTWARE TO A SPECIFIED PERIOD IS A VIOLATION OF THIS LICENSE. ANY ATTEMPT TO CIRCUMVENT ANY SUCH EXPIRY DATE TECHNOLOGY/TIME BOMB MECHANISM SHALL RESULT IN THE IMMEDIATE TERMINATION OF THE USERS LICENSE TO USE THE SOFTWARE.


ACADEMIC EDITION ADDENDUM TO THE GENERAL LICENSE AGREEMENT

IF THIS PRODUCT IS IDENTIFIED AS AN ACADEMIC EDITION, THE USERS USE OF THIS PRODUCT IS GOVERNED BY THE TERMS OF THE GENERAL LICENSE AGREEMENT AS MODIFIED BY THE TERMS OF THIS ACADEMIC EDITION ADDENDUM TO THE GENERAL LICENSE AGREEMENT. IN THE EVENT OF ANY CONFLICT BETWEEN THE TERMS OF THE GENERAL LICENSE AGREEMENT AND THIS ACADEMIC EDITION ADDENDUM, THE TERMS OF THIS ACADEMIC ADDENDUM TO THE GENERAL LICENSE AGREEMENT SHALL GOVERN.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE GENERAL LICENSE AGREEMENT, THE USER MAY NOT TRANSFER OR ASSIGN THE PRODUCT OR ANY COPY THEREOF, OR THE USERSR LICENSE TO USE THE PRODUCT TO A THIRD PARTY.

If the user has purchased this Product as part of the Student Campus Reward Option for Learning (SCROL) Program, paragraph D of the General License Agreement shall be deleted and replaced with the following:
D. TERM: This license shall remain in effect only for so long as the user is a registered full-time student or a faculty member at an accredited higher education institution. This license shall terminate in the event the user is no longer a registered full-time student or a faculty member at an accredited higher education institution. For the purposes of this License, "accredited higher education institution" shall mean either a publicly or privately owned vocational or correspondence school; junior college; college; university or scientific or technical institute recognized by the appropriate ministry or department of education. In addition this License will terminate if the user fails to comply with any of its terms or conditions. The User agrees, upon termination, to destroy all copies of the Product. The Limitations of Warranties and Liability set out below shall continue in force even after any termination.


OEM EDITION ADDENDUM TO THE GENERAL LICENSE AGREEMENT

OEM PRODUCT IS SOLD UNDER LICENSE IN CONJUNCTION WITH DAZ3D APPROVED PARTNER PRODUCTS OR SERVICES WHICH ARE DESCRIBED IN THE WARNING LOCATED ON THE STORAGE MEDIA. IF THIS PRODUCT IS IDENTIFIED AS AN OEM EDITION, THE USERS USE OF THIS PRODUCT IS GOVERNED BY THE TERMS OF THE GENERAL LICENSE AGREEMENT AS MODIFIED BY THE TERMS OF THIS OEM EDITION ADDENDUM TO THE GENERAL LICENSE AGREEMENT. IN THE EVENT OF ANY CONFLICT BETWEEN THE TERMS OF THE GENERAL LICENSE AGREEMENT AND THIS OEM EDITION ADDENDUM, THE TERMS OF THIS OEM ADDENDUM TO THE GENERAL LICENSE AGREEMENT SHALL GOVERN.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE GENERAL LICENSE AGREEMENT, THE USERS MAY NOT TRANSFER OR ASSIGN THE PRODUCT OR ANY COPY THEREOF, OR THE USERS LICENSE TO USE THE PRODUCT TO A THIRD PARTY.
