TVNweather stream license terms

1. GRANT OF RIGHTS. This Chaser (Licensor) grants a non-exclusive license to your company (Licensee) to use the video and audio content published on Licensor's live video stream (Materials) in accordance with the terms of this Agreement. The license granted hereunder includes the worldwide right to edit, telecast, rerun, reproduce, use, syndicate, license, print, distribute and otherwise exploit the Materials, or any portion thereof in any manner and in any medium or forum, whether now known or hereafter devised.

2. DURATION. Access to the live stream for licensing purposes is limited by the Duration set by the Licensor. Access to live stream expires after the set amount of time specified in the Duration lapses from the time of purchase. Once access expires the Licensee must seek a new license to continue using the footage published on the live stream after the expiration. Footage captured and used during the valid access period is licensed to the Licensee in perpetuity.

3. WATERMARKS. If a Licensor specifies that a Watermark is required, the defined Watermark text must be visible and legible on the video any time it is published or broadcasted for viewing.

4. REPRESENTATIONS AND WARRANTIES. Licensor represents and warrants to Licensee that Licensor has the full legal right, power and authority to grant to Licensee the license provided for herein, that it owns or controls the complete exhibition and other rights to the Materials for the purposes contemplated in this Agreement and that neither the Materials nor the exercise of the rights granted herein shall infringe upon or violate the right of privacy or right of publicity of, or constitute a libel or slander against, or violate any common law or any other right of, any person or entity.

5. INDEMNIFICATION. Licensor shall indemnify, defend and hold harmless Licensee, its parent and affiliated companies, its and their licensees, successors and assigns, and each of its and their officers, agents and employees from all liabilities or losses, including, without limitation, reasonable attorneys' fees, arising out of or related to Licensee's exercise of the rights granted herein.

6. GOVERNING LAW. This Agreement shall be governed by the laws of the State of Oklahoma.
