Source Code License Agreement
The accompanying source code of SCIMOREDB SOFTWARE (the “Source Code”) is made available to you under the terms of this SOURCE CODE LICENSE AGREEMENT (THE “AGREEMENT’). BY DOWNLOADING THE SOURCE CODE, YOU ARE CONSENTING TO BE BOUND BY THE AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT DOWNLOAD ANY PART OF THE SOURCE CODE.

COPYRIGHT LICENSE -- SOURCE CODE. Scimore UAB. (“Licensor”) hereby grants you (the "Licensee") a nonexclusive limited license to use the Source Code under the terms of this License Agreement, without accompanying services or support. The license granted herein is further subject to the following conditions:

Parties agree that the Agreement may be transferred to the acquirer or other controlling entity in the event of an acquisition or merger. All other transfers or assignments shall be void unless agreed to in writing by the other party.
You cannot use The Source Code as base to develop any software which is materially similar to or competitive with ScimoreDB Embedded, Server and Distributed database products.
You may modify the Source Code to adapt it to its purposes, provided such modifications are consistent with the rights and restrictions contained herein.
PROPRIETARY RIGHTS. Licensor owns and shall retain all rights, title and interest in and to the Source Code, as well as all related copyright, patent, trade secret and other proprietary rights therein. Licensor shall have no rights in any modifications, changes, or enhancements to the software made by Licensee.

THIRD PARTY TOOLS. The Source code use third party tools and components. No commercial licenses of third party tools shall be transferred to you by the Agreement. Should you wish to modify the Source Code which utilizes third party tools, you must separately purchase such licenses from the third party vendor.

DISCLAIMER OF WARRANTY. THE PRODUCT IS PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND. LICENSOR MAKES NO WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY REGARDING OR RELATING TO THE PRODUCT. SPECIFICALLY, LICENSOR DOES NOT WARRANT THAT THE PRODUCT WILL BE ERROR FREE OR WILL PERFORM IN AN UNINTERRUPTED MANNER. TO THE GREATEST EXTENT ALLOWED BY LAW, LICENSOR SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE (EVEN IF LICENSOR HAD BEEN INFORMED OF SUCH PURPOSE), AND NONINFRINGEMENT WITH RESPECT TO THE PRODUCTS AND WITH RESPECT TO THE USE THEREOF.

LIMITATION OF LIABILITY. IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, LOSS OF DATA, COST OF COVER) IN CONNECTION WITH OR ARISING OUT OF OR RELATING TO THE FURNISHING, PERFORMANCE OR USE OF THE PRODUCT OR ANY OTHER RIGHTS GRANTED HEREUNDER, WHETHER ALLEGED AS A BREACH OF CONTRACT OR TORTIOUS CONDUCT, INCLUDING NEGLIGENCE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, LICENSOR’S LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100). THE PARTIES AGREE THAT THE FOREGOING REPRESENTS A FAIR ALLOCATION OF RISK HEREUNDER. THE ALLOCATION OF RISK IS MATERIAL TO THIS AGREEMENT, AND LICENSOR IS WILLING TO ENTER INTO THIS AGREEMENT ONLY SUBJECT TO THESE LIMITATIONS ON LIABILITY.
